Neighborhood Intelligence (NXH) and Fathom Holdings (FTHM) are replacing their June merger agreement with a restructured deal focused on combining real estate operations with digital-asset holdings.
The companies said Thursday the original agreement, under which Fathom shareholders were to receive 0.2236 shares of NXH common stock for each Fathom share, will be terminated once definitive documents are signed.
The revised structure would combine Fathom's brokerage and title business with Neighborhood's interests in tZero, the Medici portfolio and GrainChain, and would value the digital assets contributed by Neighborhood at no less than $130 million. Neighborhood would receive newly issued Fathom shares for those assets.
The companies said the new structure is intended to create a transparent public equity interest for Neighborhood while building on Fathom's operating businesses.
Neighborhood shares rose 7.6% in after-hours trading, and Fathom gained 18%.
