Shares of Voyager Technologies fell after the company said it plans to offer $350 million worth of convertible senior notes.
The stock was down 7.8% at $34.60 in after-hours trading on Tuesday. Shares closed down 0.4% at $37.53, up 44% this year.
The defense and space technology company also said the initial purchasers of the notes are expected to have a 13-day period to buy up to an additional $52.5 million worth of notes.
The notes are senior unsecured obligations and mature on Oct. 15, 2032, the company said.
The company said it plans to use a portion of the net proceeds to fund capped call transactions, with the rest going toward general corporate purposes. Some of the proceeds will be used to support Voyager's expansion through organic growth and strategic acquisitions, the company said.
