UMS Integration plans S$140.8 million share placement to fund regional expansion

UMS Integration Limited said on Sep, 29 2026 that it has signed a placement agreement with CGS International Securities Malaysia Sdn Bhd and AmInvestment Bank Berhad to place up to 52.94 million new ordinary shares at RM 8.50 each (about 2.66 Singapore dollars). The transaction could raise as much as 140.83 million Singapore dollars before expenses, with the agents acting on a best-effort, non-underwritten basis.

The new shares represent about 5.96 % of the company’s existing 888.17 million shares and will enlarge the share base to roughly 941.11 million shares. The issue price is a 0.23 % discount to the stock’s last traded volume-weighted average price on the Singapore Exchange and 1.11 % below the Bursa Malaysia VWAP on Sep, 28 2026.

After estimated fees of 2.19 million Singapore dollars, net proceeds of about 138.64 million Singapore dollars will be directed mainly to expansion projects: up to 75 % for automation and capacity upgrades at the group’s Penang, Malaysia facilities, and up to 25 % for facility acquisition and automation investments in Vietnam and Singapore.

Pro forma calculations based on FY 2025 figures indicate that the placement would lift net tangible assets per share to 0.51 Singapore cents from 0.38 cents, while diluting earnings per share to 5.45 Singapore cents from 5.85 cents due to the enlarged share base.

Completion is targeted for Oct, 9 2026, subject to approvals from the Singapore Exchange, Bursa Malaysia and other regulators, as well as customary closing conditions. The company said the deal will strengthen its balance sheet, support growth opportunities and broaden its shareholder base.

Management affirmed that existing cash and bank facilities, together with the expected proceeds, are sufficient to meet current working-capital needs. Shareholders were advised to trade with caution until all conditions for the placement are met.
