Unitas Holdings Calls 30 Sep 2026 AGM, Proposes Director Re-elections and Fresh Share Mandates

Unitas Holdings Limited will convene its annual general meeting (AGM) on 30 September 2026 at 11:00 a.m. in Kwun Tong, Hong Kong. Shareholders are asked to vote on eight ordinary resolutions:

1. Financial reporting: Adoption of the audited consolidated financial statements and directors’ and auditors’ reports for the financial year ended 31 March 2026.

2–3. Board composition: Re-election of two independent non-executive directors—Mr Lee Chi Keung Jim and Mr Siu Chi Yiu Kenny.

4. Director remuneration: Authorisation for the board to determine directors’ fees.

5. Auditor appointment: Re-appointment of Asian Alliance (HK) CPA Limited and authorisation for the board to fix the auditor’s remuneration.

6. Share repurchase mandate: Authorisation for the board to repurchase up to 10% of the company’s issued share capital as at the date of the AGM.

7. Issuance mandate: Authorisation for the board to allot and issue additional shares up to 20% of the issued share capital as at the AGM date.

8. Mandate extension: Extension of the share issuance mandate by the aggregate nominal amount of shares repurchased under the share buy-back authority.

All resolutions will be decided by poll. Shareholders may appoint proxies to vote on their behalf, with completed proxy forms to be lodged with Union Registrars Limited no later than 48 hours before the meeting.
