Truly Int’l Maintains Share Count After Repurchasing 1.00 Million Shares on 25 Sep; 16% of 2026 Buyback Mandate Already Deployed

Truly International Holdings Limited (Truly Int’l) disclosed that it bought back 1.00 million ordinary shares on 25 September 2026 via on-market transactions on the Hong Kong Stock Exchange. The shares were repurchased at prices ranging between HKD 0.795 and HKD 0.800, for a total consideration of HKD 0.80 million.

Despite the latest transaction, the company’s issued share capital remained unchanged at 2.92 billion shares as of 25 September 2026 because the repurchased stock has yet to be cancelled. Including earlier buybacks executed between 1 and 21 September, Truly Int’l now holds 10.91 million shares pending cancellation, acquired at volume-weighted average prices of roughly HKD 0.79–0.84 per share.

Under the shareholder mandate approved on 12 May 2026, the company is authorised to repurchase up to 297.13 million shares. Cumulative repurchases have reached 47.92 million shares, utilising 1.61% of the mandate to date. Following the 25 September transaction, Truly Int’l is restricted from issuing new shares or selling treasury stock until 25 October 2026, in accordance with Hong Kong Stock Exchange rules.

Management confirmed that all repurchase activities complied with the exchange’s Main Board Rules and relevant legal requirements.
