R&F Properties Updates Debt Restructuring, Asset Sales and Liquidity Measures

Guangzhou R&F Properties Co., Ltd. (R&F Properties) released an overseas regulatory announcement detailing the latest progress on its multi-layered restructuring plan and associated risk-mitigation actions for the period 1 July 2026 to 30 September 2026. Key takeaways follow.

I. Action Plan to Address Auditor’s Disclaimer of Opinion • Offshore restructuring: The court convening date for the proposed scheme covering Easy Tactic Limited’s senior notes is set for 2H 2026. More than 77 % of scheme creditors have already acceded to the amended restructuring support agreement. Implementation is targeted for early 2027, subject to court approval and satisfaction of conditions.

• Onshore restructuring: Bondholders have approved restructuring proposals for bond “H16RF4” (outstanding principal c.RMB 1.68 billion) and “H19RF2” (c.RMB 377 million). Meetings for the remaining onshore bonds will be convened in due course.

• Asset sale: On 26 May 2026, the Group agreed to divest a 33.34 % stake in the vehicle holding Guangzhou’s International Grand City (IGC Mall), Conrad Guangzhou and related parking facilities. Net proceeds of RMB 283 million have been earmarked for general corporate purposes.

• Liquidity and cost controls: – Approximately RMB 4.00 billion of existing borrowings were successfully extended in 1H 2026. – Selling and marketing expenses fell 21 % year on year in the first half. – Administrative costs and capex continue to be curtailed, while additional asset disposals are being evaluated.

II. Offshore Notes – Change of Governing Law All offshore noteholders have been invited to vote between 28 September 2026 and 16 October 2026 (London time) on an extraordinary resolution to shift the governing law of each series of notes and related documents from English law to Hong Kong law, a step aimed at facilitating the broader offshore restructuring.

III. Restrictions on High-Level Consumption The No. 2 Intermediate People’s Court of Beijing imposed high-level consumption restrictions on R&F Properties and Chairman Li Sze Lim. The company states the measures have not materially affected daily operations or domestic bond repayment ability and is engaging with relevant authorities to resolve the matter.

IV. Litigation Update A judicial auction related to land use rights in Huainan (Plot HGTP19033) ended unsuccessfully on 30 September 2026. R&F Properties and its subsidiaries are pursuing amicable settlement options and will continue to monitor the case’s impact on operations and debt-servicing capacity.
