PA GOODDOCTOR renews multi-year connected-transaction frameworks with Ping An Group; sets up to RMB9.50 billion daily wealth-management cap

Ping An Healthcare and Technology Company Limited (“PA GOODDOCTOR”) announced the renewal of five framework agreements with Ping An Group and its associates, covering the three financial years from 1 January 2027 to 31 December 2029 (two years for life-insurance-only agreements). All arrangements remain subject to shareholder or reporting requirements under Chapters 14 and 14A of the Hong Kong Listing Rules.

Framework highlights and annual caps

1. Provision of Products and Services • Counterparties: 17 Ping An–related entities • Caps: RMB1.97 billion (2027), RMB2.10 billion (2028) and RMB2.27 billion (2029) • Scope: AI-enabled medical consultations, health-management packages, e-commerce health products, and platform advertising.

2. Services Purchasing • Counterparties: 11 Ping An–related entities • Caps: RMB934.95 million (2027), RMB1.05 billion (2028) and RMB1.17 billion (2029) • Services: consulting, health management, business promotion, shared-service outsourcing, insurance, traffic redirection and medical-scenario services.

3. Financial Service Cooperation (classified as a major transaction) • Deposit service – maximum daily balance: RMB8.00 billion per year; interest-income cap: RMB160.00 million per year. • Wealth-management products – maximum daily balance: RMB9.50 billion per year; investment-income cap: RMB332.50 million per year. • Foreign-exchange derivatives – maximum outstanding notional amount: RMB7.00 billion per year.

4. Property Leasing • Caps reflect right-of-use asset value: RMB12.37 million (2027), RMB30.83 million (2028) and RMB68.59 million (2029). • Applicable percentage ratio remains below 5%; transactions require reporting and annual review but are exempt from independent-shareholder approval.

Life-insurance-specific agreements

• Provision of Products and Services to Ping An Life Insurance: caps of RMB1.31 billion (2027) and RMB1.50 billion (2028). • Services Purchasing from Ping An Life Insurance (system licensing): caps of RMB0.53 million (2027) and RMB1.05 million (2028). The latter qualifies for full exemption under Chapter 14A.

Strategic rationale

Management expects deeper synergy under Ping An’s “integrated finance + health and senior care” strategy, leveraging PA GOODDOCTOR’s 24-hour online-merge-offline medical network, corporate-health offerings and AI-driven services. The company cites stable demand from Ping An’s extensive customer base and cost efficiencies from long-standing cooperation as key benefits.

Governance and approval

• Independent non-executive directors will advise minority shareholders via an Independent Board Committee. • Gram Capital has been appointed as independent financial adviser. • A shareholder circular is scheduled for release on or around 9 November 2026 to provide further details and seek approvals where required.

Directors linked to Ping An have abstained from voting on the relevant board resolutions. All other directors consider the transactions fair, reasonable and in the interests of the company and its shareholders.
