Zhuzhou CRRC Times Electric Co., Ltd. (“Times Electric”) announced two key corporate actions following its 30 September 2026 board meeting.

First, the board approved a special-resolution proposal to revise the company’s Articles of Association after completing share cancellations linked to its 2026 H-share buy-back programme. A total of 27.25 million H shares—10.25 million cancelled on 12 May 2026 and 17.00 million cancelled on 13 July 2026—has reduced issued shares from 1,357.95 million to 1,330.70 million. Correspondingly, registered capital will fall from RMB 1.36 billion to RMB 1.33 billion. The amendment will be tabled for shareholder approval at an upcoming extraordinary general meeting (EGM).

Second, veteran accountant Clement Chan Kam Wing (age 67) has been nominated for election as an independent non-executive director (INED) of the eighth board session. Upon shareholder approval at the EGM, Chan is set to become chairman of both the audit committee and remuneration committee, and a member of the risk control committee. His annual remuneration is proposed at RMB 0.24 million (pre-tax), aligned with market benchmarks and his professional background.

Chan brings more than four decades of auditing and governance experience, including senior roles at Shu Lun Pan Horwath Hong Kong CPA Limited and BDO Limited, presidency of the Hong Kong Institute of Certified Public Accountants (2014), and current INED mandates at Hong Kong Exchanges and Clearing Limited and Chinachem Group Holdings Limited. He previously served as a Times Electric INED from September 2005 to June 2023. The board confirmed his independence under Rule 3.13 of the Hong Kong Listing Rules.
