Jiangsu Expressway Company Limited will seek shareholder approval on 27 October 2026 to purchase the entire equity of Jiangsu Suxichang South Expressway Company in a RMB 7.34 billion cash deal. The seller group comprises controlling shareholder Jiangsu Communications Holding (65%), Wuxi Transportation (22.82%) and Changzhou Communications Holding (12.18%).
The consideration—based on a state-approved valuation of RMB 7.34 billion—will be settled from 30% internal resources and 70% bank borrowings. Payments to Jiangsu Communications Holding will be split: 50% within five working days of completion and the balance by 29 September 2027 with interest at the one-year Loan Prime Rate. Wuxi Transportation and Changzhou Communications Holding will receive full settlement within five working days of completion.
Post-acquisition, Jiangsu Expressway will replace Jiangsu Communications Holding as guarantor—effective 1 January 2027, subject to lender consent—for RMB 4.70 billion of outstanding loans linked to the target company. The transferors have committed that the acquired business will deliver at least RMB 611.08 million of cumulative net profit for 2026-2028; any shortfall below 95% triggers compensation, capped at the consideration each vendor receives.
The board also proposes a mid-year cash dividend of RMB 0.25 per share, totalling approximately RMB 1.26 billion and representing a 50.31% payout of first-half 2026 earnings. The dividend record date for H-shareholders is 6 December 2026 with payment slated for 31 December 2026.
An extraordinary general meeting will be held in Nanjing on 27 October 2026. Jiangsu Communications Holding and its associates, which control 58.00% of voting rights, will abstain from voting on the acquisition and guarantee assumption resolutions.
