TIANYU SEMI Buys Back 59,550 H Shares, Trimming Free Float by 0.10%

Guangdong Tianyu Semiconductor Co., Ltd. (TIANYU SEMI) disclosed a share-repurchase transaction executed on 28 September 2026 under its Hong Kong mandate.

• Transaction details – Shares repurchased: 59,550 H shares – Price range: HKD 47.00–47.44 per share – Volume-weighted average price: HKD 47.31 – Cash outlay: HKD 2.82 million

• Capital structure impact – Outstanding H shares (excluding treasury shares) fell to 58.78 million, down 0.10% from 58.84 million before the trade. – Treasury-share balance rose to 207,250 shares, while total issued shares remained unchanged at 58.99 million.

• Mandate utilisation – Repurchase authority granted on 19 May 2026 permits the company to buy back up to 5.90 million shares. – Cumulative repurchases under the mandate now stand at 207,250 shares, or 0.35% of the share count on the mandate date. – A 30-day moratorium on issuing new shares or selling treasury shares is in effect until 28 October 2026 in line with Hong Kong Listing Rules.

The company confirmed that the buyback complied with Main Board Rule 10.06 and that no material changes have occurred in the explanatory statement filed on 27 April 2026.
