FS.COM Proposes Office Relocation, Governance Updates and Full Board Refresh Ahead of 16 October 2026 EGM

FS.COM Limited disclosed several corporate actions that will be tabled at an extraordinary general meeting (EGM) scheduled for 16 October 2026 in Shenzhen.

The Group plans to relocate its registered office from units 1903-1904 to units 2805-2808 within Block C of the China Resources Land Building, Da Chong Community, Yuehai Street, Nanshan District. Final implementation is contingent on shareholder approval by special resolution and subsequent registration with market-supervision authorities.

To align with the relocation, improve decision-making efficiency and prepare for Hong Kong’s uncertificated securities regime, management proposes targeted amendments to the Articles of Association, the Independent Non-executive Director System, and the procedural rules for both general meetings and the board. These amendments will become effective upon shareholder approval at the EGM.

A complete refresh of the Board of Directors is proposed as the current term nears expiry. The third session of the Board would comprise:

• Executive Directors: Xiang Wei (current Chairman and CEO) and Zeng Di. • Non-executive Directors: Zhao Pan and Peng Chao. • Independent Non-executive Directors: Guo Fei, Ran Long and Wang Jing.

If elected, the seven directors will serve a three-year term. Executive and non-executive directors will not receive board fees; independent directors are slated to receive an annual allowance of RMB 180,000 (approximately USD 24,700) inclusive of taxes.

The Supervisory Committee will also be renewed. Non-employee representative nominees Duan Ting and Zhu Yue will stand for election, joining employee-elected supervisor Zhang Denghui. The new committee’s tenure will mirror the Board’s three-year term, and the non-employee supervisors will not receive supervisory fees.

Shareholders of record on 16 October 2026 may vote at the EGM. The register of members will be closed from 13 October 2026 to 16 October 2026, and share transfers must be lodged by 16:30 on 12 October 2026 to qualify for attendance and voting.
