SGX RegCo Sets Jan, 1 2027 Deadline for Enhanced Disclosure Rules on Remuneration, Dividend and IR Policies

Singapore Exchange Regulation (SGX RegCo) announced on Sep, 23 2026 that it will amend its listing rules to mandate more detailed disclosures on executive remuneration, dividend policies and investor relations (IR) practices, with effect from Jan, 1 2027.

Under the new requirements, annual reports for financial years beginning on or after Jan, 1 2027 must: • Explain the key financial and non-financial performance indicators used to determine remuneration for executive directors and officers, and how these metrics support long-term value creation. • Include a dividend policy, while clarifying that companies are not obliged to commit to a specific payout ratio. • Present an IR policy outlining engagement channels and provide a summary of major shareholder-engagement activities during the year.

Issuers will also have to maintain a corporate website or a dedicated investor section featuring the IR policy. SGX RegCo encourages publication of additional materials such as annual reports, annual general meeting minutes, investor presentation decks and event calendars, although SGXNET remains the primary disclosure platform.

Commenting on the initiative, SGX RegCo chief executive Tan Boon Gin said the measures aim to enhance transparency and align board and management actions with shareholder interests while preserving issuer flexibility.

SGX RegCo’s review of FY2025 annual reports (released up to May, 31 2026) found that more than 90% of issuers already operate investor websites and two-way communication channels, though fewer than half disclose specific financial metrics used in remuneration decisions.

The first annual reports fully compliant with the new rules are expected in 2028, but SGX RegCo has encouraged early adoption. Feedback from 32 consultation respondents will be shared with the Corporate Governance Advisory Committee, including suggestions to broaden disclosures on overall capital management practices.
