TIMELESS: All AGM Resolutions Secure 100% Support; Independent Director Steps Down, Board Committees Reshuffled

TIMELESS Resources Holdings Limited reported that every resolution tabled at its Annual General Meeting (AGM) on 24 September 2026 was approved by poll with near-unanimous support. Shareholders representing 249.05 million shares—approximately 49.24 % of the 505.93 million issued shares—cast votes. Each resolution, including re-election of two Independent Non-Executive Directors (INEDs), renewal of share repurchase and issuance mandates, auditor re-appointment, and authorisation of directors’ remuneration, received either 100 % or 99.999 % of votes in favour, with no recorded abstentions or dissent above 0.001 %. Computershare Hong Kong Investor Services Limited acted as scrutineer.

Independent Director Lam Kwai Yan retired at the close of the AGM, relinquishing his roles as Chairman of the Nomination Committee and member of both the Audit and Remuneration Committees. Following his departure, fellow INED Dr. Chung Wai Keung David was elevated from committee member to Chairman of the Nomination Committee, ensuring continuity in board oversight.

All other directors, save for Mr. Lam and Dr. Chung, attended the AGM in person. The company confirmed that no treasury shares existed, no share-repurchase cancellations were pending, and no shareholders were required to abstain from voting under GEM Listing Rules.
