HSBC Holdings plc announced that Elizabeth Alison Platt will join the Board as an Independent Non-Executive Director on 1 October 2026. Upon appointment, Platt, aged 64, will sit on three key bodies—the Group Remuneration Committee, Group Risk Committee and Nomination & Corporate Governance Committee.
Subject to regulatory approval, Platt will succeed Dame Carolyn Fairbairn as Chair of the Group Remuneration Committee on 24 February 2027, one day after the publication of HSBC’s 2026 annual results. Fairbairn is stepping down from the role following her appointment as Chair of HSBC UK Bank plc.
Platt brings 21 years of executive experience at Bupa Group, including senior positions in its international operations, and four years as Chief Executive Officer of Countrywide plc. Her current non-executive roles include Chair of Ageas UK and Senior Independent Director of Inchcape plc. Previous board posts include Tesco plc and Hargreaves Lansdown plc.
The Board has determined Platt to be independent under both UK and Hong Kong Corporate Governance Codes. She holds no shares in HSBC, has no material relationships with the Group, and meets all independence criteria of the Hong Kong Listing Rules.
Compensation for the new role is set at £271,150 per annum, comprising: • £136,500 as Independent Non-Executive Director; • £50,000 for membership of the Group Remuneration Committee; • £50,000 for membership of the Group Risk Committee; • £34,650 for membership of the Nomination & Corporate Governance Committee.
Upon becoming Chair of the Group Remuneration Committee, Platt’s fee will rise to £150,000 per year for that specific responsibility.
Platt’s appointment is subject to shareholder election at HSBC’s 2027 Annual General Meeting, with a proposed initial three-year term to the 2030 AGM.
As of 30 June 2026, HSBC reported total assets of US$3,438.00 billion and operates in 56 countries and territories. The Board is led by Independent Non-Executive Chairman Brendan Robert Nelson and now comprises 15 directors, including 13 independent non-executive directors.
