CAI Corp Announces Auditor Transition from Elite Partners to Baker Tilly

CAI Corp disclosed that Elite Partners CPA Limited has resigned as the Group’s auditor effective 17 September 2026. Elite Partners cited resource constraints relative to the expected expansion of CAI Corp’s business—including anticipated private-equity investments in mainland China—as the key reason for stepping down. The firm confirmed no circumstances requiring shareholder or creditor attention, and the Board as well as the Audit Committee reported no disagreements with the outgoing auditor.

To fill the vacancy, the Board, following an Audit Committee recommendation, has resolved to appoint Baker Tilly Hong Kong Limited as the new auditor, subject to shareholder approval at an extraordinary general meeting. Baker Tilly will serve until the next annual general meeting and will be eligible for re-appointment thereafter.

Key terms of the proposed engagement: • Audit fee for FY2026: HK$0.80 million, broadly in line with the fee charged by Elite Partners for FY2025. • Dedicated engagement team of approximately 300 professionals within Baker Tilly Hong Kong, backed by the Baker Tilly International network. • Audit timetable: planning and transition (Nov–Dec 2026); year-end fieldwork (Jan–Feb 2027); completion and auditor’s report issuance (early–mid Mar 2027). • Annual results for FY2026 are expected to be released within the Listing Rules’ deadline.

The Audit Committee reviewed Baker Tilly’s governance, independence, sector expertise, resource allocation and quality-management processes—aligned with Accounting and Financial Reporting Council guidelines—and concluded the firm is equipped to deliver a high-quality audit.

Elite Partners had not commenced any FY2026 audit work prior to its resignation, and the Board expects no material impact on the FY2026 audit or timetable. A shareholder circular detailing the proposed appointment of Baker Tilly and the EGM notice will be dispatched in due course.
