Unity Group Shareholders Approve HK$20.00 Million Capitalisation Share Issue to Synergy Green

Unity Group Holdings International Limited (“Unity Group”) announced that shareholders overwhelmingly endorsed the company’s proposed Capitalisation Agreement at an Extraordinary General Meeting (EGM) held on 29 September 2026.

The approved ordinary resolution authorises Unity Group to issue and allot up to 50.00 million new shares—termed “Capitalisation Shares”—to Synergy Green Technology Limited at HK$0.40 per share. The transaction, valued at HK$20.00 million, was supported by 110.25 million votes, representing 99.19% of the votes cast, while 0.81% (0.90 million votes) were against.

In line with Hong Kong Listing Rules, shareholder Mr Stephen Cheung—who, together with his spouse, holds 6.60 million shares (0.19% of issued share capital)—abstained from voting. No other shareholders were required to abstain, and none indicated an intention to oppose the resolution.

The mandate granted by shareholders permits the Board to execute all necessary acts, documents, and variations related to the Capitalisation Agreement and the ensuing share issuance, without affecting any previously granted mandates.

Tricor Investor Services Limited acted as scrutineer for the poll. With the resolution surpassing the simple majority threshold, the agreement is now approved, paving the way for the listing application for the 50.00 million Capitalisation Shares, subject to endorsement by the Stock Exchange’s Listing Committee.

All members of the Board—either in person or via electronic means—participated in the EGM, underscoring full governance engagement in the approval process.
