Dufu Liquor Proposes Comprehensive Bye-law Overhaul to Align with HKEX Uncertificated Regime

Dufu Liquor Group Limited announced plans to replace its existing amended and restated bye-laws with an entirely new set, subject to shareholder approval at the 30 September 2026 annual general meeting.

Key proposed changes: • Alignment with the forthcoming Hong Kong Exchanges and Clearing Limited (HKEX) uncertificated securities market framework, as outlined in the May 2025 Information Paper and the May 2026 Guide on the Uncertificated Securities Market. • Introduction of flexibility for the company to purchase or acquire shares to be held as treasury stock. • Conformity with recent Listing Rule amendments covering hybrid shareholder meetings, electronic voting, paper-less listing measures, electronic payments, and digital dissemination of corporate communications. • Additional consequential and housekeeping revisions.

A circular detailing the amendments and enclosing the AGM notice will be dispatched to shareholders in due course. Approval requires a special resolution.

The board currently comprises eight directors: four executive directors (Liu Jun, Qin Zhizun, Wei Liang, Li Xia), one non-executive director (Yang Xiaoqing) and three independent non-executive directors (Yiu To Wa, Lau Leong Yuen, Zhang Heng).
