SmarTone Telecommunications Proposes HK$0.175 Final Dividend, Seeks Share Mandates and Bye-laws Overhaul Ahead of 28 October AGM

SmarTone Telecommunications Holdings Limited has issued a circular convening its annual general meeting (AGM) for 28 October 2026 at Sun Hung Kai Centre, Hong Kong. Key resolutions put to shareholders include:

• Dividend: The board recommends a cash final dividend of HK$0.175 per share for the year ended 30 June 2026, payable on or about 16 November 2026 to investors on record as at 5 November 2026.

• Share Issuance & Buy-back Mandates: Directors are seeking fresh general mandates to (i) issue new shares up to 10% of issued share capital (excluding any treasury shares), (ii) repurchase up to 10% of issued shares, and (iii) extend the issue mandate by the number of shares repurchased. The current mandates will lapse at the AGM.

• Director Elections: Six directors—Allen Fung, Stephen Chau, David N. Prince, Wong Hong-kit, Ng Leung-sing and Kenny Lam—will retire by rotation and offer themselves for re-election.

• Auditor: Re-appointment of PricewaterhouseCoopers is proposed, with the forthcoming audit fee estimated at HK$1.90 million–HK$2.10 million, versus HK$1.99 million for FY-2026.

• Bye-laws Update: A special resolution seeks shareholder approval for extensive amendments to align the Company’s bye-laws with Hong Kong’s new uncertificated securities market regime and to incorporate housekeeping changes. Adoption of a third amended and restated set of bye-laws will follow if approved.

Shareholders may vote in person or by proxy; proxy forms must be lodged by 12:00 noon on 26 October 2026. Each attendee or proxy will receive one corporate gift, capped at five per person.
