Everest Medicines Limited (EVEREST MED) has formed an Environmental, Social and Governance (ESG) Committee following a board resolution dated 28 September 2026. The new body is tasked with steering the company’s ESG agenda and embedding climate-related considerations into corporate strategy and risk management.
The Committee will comprise a minimum of three board-appointed members and be led by a designated chairperson. It is required to meet at least once a year, with a quorum of two members, and may convene more frequently as circumstances warrant. Meetings can be attended in person or via electronic means, and decisions will be taken by majority vote.
Key mandates include: • Defining the Group’s overall ESG vision, formulating strategy, and submitting recommendations to the Board. • Overseeing identification, assessment, and management of ESG and climate-related risks and opportunities, integrating them into the wider risk-management framework. • Setting measurable ESG and climate targets, monitoring progress, and ensuring continuous performance improvement. • Ensuring compliance with all relevant ESG regulations and standards while safeguarding the Group’s reputation through stakeholder engagement and materiality assessments. • Reviewing the Group’s annual ESG report prior to Board approval and public disclosure.
The Committee will supervise an internal ESG working group—comprising senior management and key departmental representatives—charged with day-to-day implementation, data collection, and performance monitoring. It holds authority to access company management, request information, and engage external advisers at the company’s expense.
Reporting lines are direct to the Board, with formal updates provided at least annually. The Committee chair, or an appointed delegate, will also attend the company’s annual general meeting to address shareholder queries on ESG matters.
By institutionalizing these governance mechanisms, Everest Medicines aims to reinforce accountability and enhance transparency across its environmental, social, and governance practices.
