Hong Kong – Nimble Holdings Company Limited announced that on 30 July 2026 its indirect wholly owned subsidiary, Zhanjiang Ruichen Real Estate Development Co., Ltd., signed a construction contract with Meizhou Nimble Construction Co., Ltd. for earthworks and piling works at the group’s Zhanjiang residential project.
The contract is valued at approximately RMB14.65 million (HK$16.92 million) and covers site clearance, excavation and transport of soil and rock, piling, backfilling, compaction, demolition of existing structures, drainage, dust-control measures, temporary road works and protection of underground utilities. The construction period is 928 days. Payments will be made monthly based on progress, capped at 97 % of the contract sum until completion; the remaining 3 % will be retained until the end of the defect-liability period. Funding will be sourced from internal resources.
Because the contractor is majority-owned by entities controlled by members of Chairman and Executive Director Mr. Tan Bingzhao’s family, the agreement constitutes a connected transaction under Chapter 14A of the Hong Kong Listing Rules. All percentage ratios fall between 0.1 % and 5 %, making the deal subject only to reporting and announcement requirements without the need for independent shareholders’ approval. Mr. Tan abstained from the board vote; independent non-executive directors concurred that the terms are fair, reasonable and on normal commercial terms.
The Zhanjiang project, located on a 63,688.32-square-metre land parcel in Suixi County, Guangdong, has an intended gross floor area of approximately 227,000 square metres and forms part of Nimble Holdings’ core property-development operations on the mainland.
