UBS AG Raises Stake in Guotai Junan International to 7.43% amid Ongoing Privatisation Plan

Guotai Junan International Holdings Ltd (Guotai Junan International) disclosed that UBS AG, classified as a Class (6) associate of the offeree company under the Hong Kong Code on Takeovers and Mergers, increased its shareholding through on-market transactions on 29 September 2026.

According to the filing, UBS AG executed five trades in Guotai Junan International’s shares:

• Purchases: 4.83 million shares at an average price of HK$2.9031, followed by 30,000 shares at HK$2.9057 and 9,000 shares at HK$2.9056. • Sales: 5,000 shares at HK$2.9050 and 0.27 million shares at HK$2.9005.

The transactions resulted in a net acquisition of 4.59 million shares. UBS AG’s total holding subsequently rose to 708.53 million shares, representing 7.43 % of Guotai Junan International’s issued share capital.

The dealings were conducted for UBS AG’s own account and were reported under Rule 22 in connection with the proposed privatisation of Guotai Junan International by way of a scheme of arrangement. UBS AG is ultimately owned by UBS Group AG.
