Jiaxin International Resources Postpones Circular on Boguty Mining Construction Transaction to 30 October 2026

Jiaxin International Resources Investment Limited has delayed the release of its shareholder circular related to the proposed Boguty Mining Construction Contract, a deal previously classified as both a major and connected transaction.

Originally slated for publication on 30 September 2026, the circular is now expected on or around 30 October 2026. The company cited the need for additional time to prepare and finalise information—specifically, details of the construction contract, the Independent Board Committee’s recommendation, the Independent Financial Adviser’s opinion, and the notice of the extraordinary general meeting (EGM).

The postponement follows the company’s announcement on 24 August 2026 outlining the transaction. No changes to the terms of the Boguty Mining Construction Contract were disclosed in the latest filing.

The board currently comprises three executive directors (Xie Wenbo, Qiu Huaizhi, and Zheng Wenyi), three non-executive directors (Wang Zhongwei, Chen Keqin, and Gong Yunfan), and three independent non-executive directors (Zhu Guoshan, Wang Jianfeng, and Wong Hok Bun Mario).

The company stated that it will upload the circular to the Hong Kong Stock Exchange and its own website once the documentation is complete.
