Nuobikan Launches Share Placement: Net Proceeds of HK$130 Million as Market Value Erodes by Nearly HK$10 Billion Nine Months After Listing

Nuobikan (Stock Code: 02635.HK) today issued an announcement stating that on September 29, 2026 (before trading hours), the company entered into a placing agreement with a placing agent.

Under the agreement, the placing agent has conditionally agreed to act as the company's placing agent to procure no fewer than six placees (who, together with their ultimate beneficial owners, will be independent third parties) to subscribe for 16,488,500 placing shares at a placing price of HK$8.19 per placing share.

Assuming no change in the number of issued shares between the date of this announcement and the completion date, the 16,488,500 placing shares under the placing represent approximately 5.42% of the existing issued H shares and approximately 4.35% of the existing issued shares as at the date of this announcement, and approximately 5.14% of the issued H shares and approximately 4.17% of the issued shares as enlarged by the allotment and issue of the placing shares.

The total gross proceeds from the placing are approximately HK$135 million, and after deducting placing commission and other related costs and expenses, the estimated net proceeds from the placing are approximately HK$131 million.

The placing price per share represents a discount of approximately 13.61% to the closing price of HK$9.48 per H share as quoted on the Hong Kong Stock Exchange on the last trading day; and a discount of approximately 18.33% to the average closing price of approximately HK$10.03 per H share as quoted on the Hong Kong Stock Exchange for the last five consecutive trading days up to and including the last trading day.

Nuobikan listed on the Hong Kong Stock Exchange in December 2025 at an issue price of HK$80, raising total gross proceeds of HK$300 million; at that time, Nuobikan's market value exceeded HK$12 billion.

As of today's close, Nuobikan's share price stood at HK$8.855, down 6.59% from the previous day; based on the closing price, the company's market value is HK$3.35 billion.

It can be seen that in less than a year since listing, Nuobikan's market value has evaporated by nearly HK$10 billion.

First-Half Revenue of HK$300 Million, Up 32% Year-on-Year

Nuobikan recently released its financial report.

The report shows that Nuobikan's revenue for the first half of 2026 was HK$306 million, up 32% from HK$232 million in the same period last year.

Nuobikan's gross profit for the first half of 2026 was HK$168 million, compared with HK$90.8 million in the same period last year.

Nuobikan's selling and distribution expenses for the first half of 2026 were HK$18.42 million, research and development expenses were HK$60.2 million, and administrative expenses were HK$17.3 million.

Nuobikan's profit for the period in the first half of 2026 was HK$53.37 million, up 33% from HK$40.08 million in the same period last year.

Appointment of Several Senior Executives

Recently, Nuobikan announced the appointment of Ms. Zhou Qi as Deputy General Manager of Operations, Ms. Luo Shaoqiong as Deputy General Manager of Administration, Ms. Lin Ganlu as Deputy General Manager of Brand Promotion, and Lei Shijun as Deputy General Manager of Risk Control.

Ms. Zhou Qi, aged 40, joined the company in September 2021. She has successively served as the company's human resources manager and human resources director. She currently serves as assistant to the chairman, assisting the chairman in strategic planning, overall business coordination, and internal and external liaison. She is mainly responsible for Nuobikan's overall operations, human resources strategy, organizational talent development, government-enterprise liaison, and governance and control of subsidiaries. Prior to joining Nuobikan, Ms. Zhou served as a comprehensive supervisor at Chengdu Jiacheng Xinyue Property Management Group, responsible for regional human resources and administrative coordination, conference services, and external reception. She also served as deputy section chief of the music performance department at the Airport Campus of Sichuan Modern Art Vocational College, responsible for teaching administration, department operations, and admissions. Ms. Zhou obtained a bachelor's degree in musicology from Sichuan Normal University.

Ms. Luo Shaoqiong, aged 45, joined Nuobikan in May 2018. She is mainly responsible for Nuobikan's administrative management system construction, qualification certification management, government project applications, and intellectual property management. Ms. Luo obtained a college diploma in administrative management from the Open University of China.

Ms. Lin Ganlu, aged 28, joined Nuobikan in September 2020 and currently serves as head of brand promotion. Ms. Lin is experienced in product visual design, brand visual design, and corporate publicity. She is mainly responsible for the company's brand building and corporate communication, including coordinating its proprietary brand communication matrix, brand content system, and external communication management. She is also responsible for the planning and management of promotional materials, brand content, and video communication projects, maintaining media relations, coordinating news communication, and organizing major external promotional activities. Ms. Lin Ganlu obtained a bachelor's degree in engineering in digital media technology from Sichuan Technology and Business University.

Lei Shijun, aged 32, joined Nuobikan in July 2022 and has been serving as Nuobikan's legal head. He is mainly responsible for legal and compliance matters and liaising with various stakeholders. Mr. Lei currently also serves as supervisor of Shaanxi Huibo Hangan Intelligent Technology Co., Ltd., a subsidiary of Nuobikan.
