Yum China Cuts Outstanding Shares by 0.35% through Dual-Market Buybacks

Yum China Holdings, Inc. disclosed a fresh round of share repurchases that lowered its issued share count by 1.21 million shares, or 0.35%, as of 24 September 2026.

Key transaction details • Cancelled shares: 1,207,346 (80,896 repurchased on the NYSE; 1,126,450 repurchased on the HKEX between 2 July and 10 September). • Post-cancellation share base: 339.50 million ordinary shares, down from 340.71 million. • Average prices: USD 40.79 per share in the U.S. market; HKD 355.34 per share in Hong Kong.

Ongoing repurchases pending cancellation A further 320,234 shares (239,900 on HKEX and 80,334 on NYSE) had been bought but not yet cancelled by 24 September. These pending cancellations represent approximately 0.09% of the pre-event share count.

24 September executions • Hong Kong: 24,350 shares repurchased on-market at HKD 319.00–322.60, costing HKD 7.84 million. • New York: 80,334 shares repurchased on-market at USD 40.95–41.30, costing USD 3.30 million.

Mandate utilisation Under the share-repurchase authority granted on 28 May 2026 for up to 34.66 million shares, Yum China has now bought back 7.68 million shares, equivalent to 2.22% of the share count at mandate date. Approximately 77.8% of the authorised capacity remains.

All transactions were executed by independent brokers under pre-established Rule 10b5-1 (U.S.) and Hong Kong automatic repurchase agreements, in accordance with relevant regulatory requirements.
