BIDU-W Repurchases 589,050 Shares on 25 Sept; September Buy-backs Total 8.41 Million Shares

Baidu, Inc. (BIDU-W, HKEX: 09888) disclosed a Next Day Disclosure Return on 25 September 2026 detailing the latest activity under its share-repurchase programme.

On 25 September 2026 the company bought back 589,050 Class A ordinary shares on the Hong Kong Stock Exchange at prices between HKD 84.35 and HKD 85.45, for a volume-weighted average cost of HKD 84.88 per share. The aggregate consideration was approximately HKD 50.00 million. All repurchased shares are slated for cancellation.

Including this transaction, Baidu has acquired 8.41 million shares between 7 and 25 September 2026, utilising about 0.308 % of the 273.36 million-share authority granted by shareholders on 26 August 2026.

Despite the ongoing buy-backs, Baidu’s issued share capital remained unchanged at 2.21 billion Class A shares as of 25 September 2026 because the repurchased shares had not yet been cancelled. No new shares were issued, and the treasury-share balance stood at zero.

Under Hong Kong listing rules, Baidu is subject to a 30-day moratorium on new share issues or treasury-share transactions following the 25 September repurchase, extending through 25 October 2026.

The company confirmed that all repurchase activities complied with Hong Kong Stock Exchange regulations and the terms of its approved repurchase mandate.
