Frasers Property (TQ5) shareholders clear FHT portfolio optimisation plan

Frasers Property (TQ5) said its shareholders have approved the proposed Frasers Hospitality Trust (FHT) portfolio optimisation transactions at an extraordinary general meeting held on Aug, 28 2026.

The sole resolution, covering a series of interested person transactions to restructure FHT’s asset base, was passed with 99.073% of the 160.5 million votes cast in favour and 0.93% against. Major shareholder TCC Assets Limited and its associates abstained from voting in line with related-party rules.

Under the plan, Frasers Property will divest certain “Stabilised Assets,” recycle capital into higher-return opportunities, retain “Assets with Potential,” and acquire the remaining 36.72% stake it does not already own in the Valley Point redevelopment site. Management said proceeds may be channelled into projects such as redevelopment initiatives, selective residential and industrial developments, asset enhancements or debt repayment.

Board members, advised by Deloitte Singapore SR&T Corporate Finance as independent financial adviser, unanimously recommended the proposal, stating it is on normal commercial terms and in the interest of minority shareholders.

The meeting, chaired by lead independent director Bobby Chin, concluded at 11:15 a.m.
