SF Holding Director He Jie Transfers 30,500 Shares to One Foundation in Initial Donation Tranche

SF Holding Co., Ltd. (SF Holding) disclosed that Director, CFO and Deputy General Manager Mr. He Jie has completed the first transfer of his pledged share donation to the Shenzhen-based One Foundation, aimed at supporting the foundation’s Rural Children Reading Pack initiative.

On 18 September 2026, Mr. He Jie executed a Share Donation Agreement to give 122,000 A-shares of SF Holding to One Foundation. At signing, the parcel comprised 30,500 unrestricted shares and 91,500 shares under senior-management lock-up.

Regulatory constraints prohibit the immediate transfer of locked shares; therefore, the two parties adopted a “staggered transfer” arrangement. Each year they will sign a Confirmation Agreement stipulating the quantity of newly unlocked shares eligible for transfer.

Key developments: • 23 September 2026: Completion of the first transfer involving 30,500 unrestricted A-shares, representing 0.0006% of SF Holding’s total share capital. • Post-transfer holding: Mr. He Jie now owns 91,500 locked shares, equal to 0.0018% of the company’s share capital, down from 0.0024% prior to the transaction.

SF Holding confirmed that the donation does not breach any provisions of China’s Company Law, Securities Law, or Shenzhen Stock Exchange regulations, nor does it affect the company’s control structure. Management will continue to monitor future annual transfers and ensure timely disclosure in accordance with applicable rules.
