Microware Group Limited (Microware) has postponed the long-stop date for completing its proposed placement of new shares under the existing general mandate. The supplemental placing agreement, signed with the placing agent on 23 July 2026, shifts the deadline from 27 July 2026 to 17 August 2026. All other terms of the original placing agreement remain unchanged.

The placement price is fixed at HK$3.35 per share. This level represents: • a 3.2% discount to the HK$3.46 closing price on the announcement date of 6 July 2026; • a 1.6% discount to the five-day average closing price of HK$3.406 prior to 6 July 2026; • a 1.5% premium to the HK$3.30 closing price on 23 July 2026, when the supplemental agreement was signed; and • a 3.7% premium to the five-day average closing price of HK$3.23 before 23 July 2026.

Completion of the placement remains subject to the fulfilment of the agreed condition precedent. Microware cautions shareholders and potential investors that the transaction may or may not proceed.
