XIAO NOODLES Repurchases 99,000 H-Shares on 29 Sept; 2026 Buybacks Reach 4.58 Million Under June Mandate

Guangzhou Xiao Noodles Catering Management Co., Ltd. (abbrev. “Xiao Noodles”) disclosed that it bought back 99,000 H-shares on 29 September 2026 via on-market transactions at prices ranging from HKD 4.04 to HKD 4.23 per share. The total cash outlay for the day amounted to HKD 0.41 million, implying an average repurchase price of approximately HKD 4.12 per share.

Including the latest purchase, Xiao Noodles has acquired 4.58 million H-shares since the 25 June 2026 shareholder mandate became effective, utilising 0.64% of the authorised 71.07 million-share limit. All acquired shares are intended for cancellation.

In addition to the mandate-period repurchases, a prior tranche of 17.32 million H-shares bought between 3 February and 24 June 2026 also remains pending cancellation. Cumulatively, 21.89 million shares—representing about 3.08% of the company’s current issued share capital of 710.69 million shares—await formal cancellation.

The latest Next Day Disclosure Return confirms:

• Issued share capital: unchanged at 710.69 million shares as of 29 September 2026. • Treasury shares: none held; all repurchased shares are slated for cancellation. • Moratorium: pursuant to Hong Kong Listing Rule 10.06(3)(a), the company is restricted from issuing new shares or selling treasury shares until 29 October 2026.

The board affirms that all buybacks were executed in compliance with the Hong Kong Listing Rules and relevant regulations, and that purchase funds have been fully settled.
