Zhaowei Executes HKD 2.52 Million H-Share Buyback; Issues 1,800 A-Shares on Option Exercise

Shenzhen Zhaowei Machinery & Electronics Co., Ltd. (Zhaowei) disclosed dual capital-market actions on 23 September 2026:

H-share repurchase • Volume: 65,900 H-shares bought on the Hong Kong Stock Exchange. • Consideration: HKD 2.52 million, at prices ranging from HKD 37.88 to HKD 38.88, implying a volume-weighted average of HKD 38.24. • Impact: Outstanding H-shares fell by 0.25 % to 25.99 million, while treasury H-shares rose to 754,600. • Mandate utilisation: Since the 22 May 2026 authorisation to repurchase up to 2.67 million shares, Zhaowei has repurchased 754,600 shares, representing 2.82 % of the issued H-share count on the mandate date. • Moratorium: Under Hong Kong listing rules, the company is restricted from issuing new shares or selling treasury shares until 23 October 2026.

A-share option exercise • Volume: 1,800 new A-shares issued on the Shenzhen Stock Exchange following option exercises under the 2024 Share Option Scheme. • Issue price: RMB 42.04 per share. • Impact: Outstanding A-shares increased marginally by 0.0007 % to 241.18 million.

Post-transaction share capital • Total issued shares across both classes: 267.93 million. • Treasury shares: 754,600 H-shares (no A-share treasury stock).

All actions were approved by the board, executed in compliance with Hong Kong and mainland regulations, and fully settled in cash.
