Coolpad Group Limited announced a leadership transition effective 30 September 2026, highlighting both a resignation and a new appointment among its independent non-executive directors (INEDs).

Mr. Guo Jinghui stepped down as INED and as a member of the audit and remuneration committees to focus on other commitments. The company stated that Mr. Guo has no disagreements with the board and no issues require shareholder or Stock Exchange attention.

To fill the vacancy, Coolpad appointed Mr. Wong King Yin—aged 50 and a practising certified public accountant in Hong Kong—as an INED. Mr. Wong also joins the audit and remuneration committees, bringing more than 20 years of accounting and finance experience, including prior roles at GroupM Limited and Sun Hung Kai Properties. He holds a Bachelor of Business Administration from Lingnan University and a Master of Corporate Finance from Hong Kong Polytechnic University.

Mr. Wong signed a three-year letter of appointment commencing 30 September 2026 and will receive an annual director’s fee of HK$0.36 million. He will stand for re-election at the next general meeting and is subject to rotation at subsequent annual general meetings.

Following these changes, Coolpad’s board comprises: • Executive Directors: Chen Jiajun (also Chief Executive Officer and Chairman) and Ma Fei • Non-executive Directors: Liang Rui and Xu Yibo • Independent Non-executive Directors: Wang Guan, Cheuk Ho Kan and Wong King Yin

Coolpad expressed gratitude to Mr. Guo for his service and welcomed Mr. Wong to the board. The company confirmed that Mr. Wong meets the independence criteria under Rule 3.13 of the Hong Kong Listing Rules and has no shareholding or undisclosed relationships with the group.
