Xinyi Energy Holdings Limited released a Next Day Disclosure Return dated 30 September 2026 detailing simultaneous issuance and cancellation activities that altered its share capital structure.
On 30 September 2026 the company allotted 175.63 million new ordinary shares at HKD 0.78 each under its scrip dividend scheme for the interim dividend for the six months ended 30 June 2026. The new shares represented 2.06% of the 8.52 billion shares outstanding before the event.
Concurrently, Xinyi Energy cancelled an aggregate 38.05 million shares previously repurchased between 10 and 23 September 2026. The cancellations, executed at volume-weighted average prices ranging from HKD 0.7744 to HKD 0.80 per share (overall average c.HKD 0.79), reduced the share count by 0.45%.
After these transactions, total issued shares (excluding treasury shares) increased to 8.65 billion, up by 132.59 million shares versus the 25 September 2026 balance—a net expansion of approximately 1.56%.
At period-end the company still held 7.11 million shares repurchased on 24, 25 and 30 September 2026 which remain pending cancellation. Under the general mandate granted on 29 May 2026, Xinyi Energy is authorised to repurchase up to 851.97 million shares. To date, 50.16 million shares (0.59% of the shares outstanding on mandate date) have been bought back, with the most recent on-market purchase of 2.68 million shares on 30 September 2026 for HKD 2.11 million at prices between HKD 0.785 and HKD 0.79 per share.
The Exchange has imposed a moratorium prohibiting new share issues or treasury share sales by Xinyi Energy until 30 October 2026, following the latest repurchase activity.
