TUHU-W Keeps Share Count Flat, Reaches 13.06 Million Shares Repurchased; Spends HK$17.31 Million on 24 September Buyback

TUHU-W (Tuhu Car Inc.), a Cayman-incorporated vehicle-service platform listed in Hong Kong under a weighted voting rights (WVR) structure, disclosed via a Next Day Disclosure Return that its issued share capital remained unchanged at 755.86 million Class A shares as of 24 September 2026. Including 67.49 million Class B shares, the company’s total outstanding share base stood at 823.35 million.

Share buy-back activity continued to be the only equity-related movement. On 24 September 2026, TUHU-W repurchased 1.56 million Class A shares on the Hong Kong Stock Exchange at prices ranging from HK$10.09 to HK$11.32, for an aggregate consideration of HK$17.31 million. The volume-weighted average price was approximately HK$11.10 per share.

Between 24 August and 24 September 2026, the company accumulated 13.06 million shares for cancellation that have yet to be retired from its register. These shares represent about 1.59 % of the 823.35 million shares outstanding as at 16 September 2026.

Including earlier transactions, TUHU-W has repurchased 18.25 million shares on the Exchange under the buy-back mandate approved on 5 June 2026. This figure equals 2.20 % of the shares outstanding on the mandate date, utilising roughly 22 % of the 82.77 million shares authorised for repurchase.

Under Hong Kong Listing Rule 10.06(3)(a), TUHU-W is now subject to a 30-day moratorium on issuing new shares, or selling or transferring treasury shares, until 24 October 2026.

All repurchases have been confirmed as compliant with applicable Hong Kong Stock Exchange requirements and relevant regulations.
