Lygend Resources & Technology Converts 1.01 Billion Unlisted Shares to A Shares and Issues 172.89 Million New Shares

Lygend Resources & Technology Co., Ltd. disclosed a significant capital restructuring in its Next Day Disclosure Return dated 30 September 2026. The company reported two separate equity events, both effective on 30 September 2026:

1. New Share Placement • Issued 172.89 million A shares through a placing/subscription transaction at RMB 21.23 per share. • The newly issued shares have been admitted to listing on the Main Board of the Shenzhen Stock Exchange.

2. Conversion of Unlisted Shares • Converted 1.01 billion previously unlisted ordinary shares into the same number of A shares, thereby shifting the entire block into the listed share class. • Following the conversion, the balance of unlisted ordinary shares fell to zero.

Post-transaction, Lygend Resources’ total issued share capital stands at 1.18 billion A shares, compared with an opening balance of zero A shares and 1.01 billion unlisted shares on 31 August 2026. No treasury shares were created, sold, or cancelled during the period, and no share repurchases were reported.

The company confirmed that all necessary board approvals were obtained and all regulatory requirements under the Hong Kong Stock Exchange Main Board Rules were met, including receipt of funds, fulfillment of listing conditions, and completion of requisite filings.
