Beauty Farm Medical and Health Industry Commits RMB300 Million to Low-Risk, Principal-Guaranteed Wealth Products at SPD Bank

Beauty Farm Medical and Health Industry Inc. (Beauty Farm) disclosed that it has deployed a total of RMB300.00 million (approximately HK$348.84 million) of idle cash into four principal-guaranteed structured deposits issued by Shanghai Pudong Development Bank (SPD Bank) between June and September 2026.

Key transaction details • September 17, 2026:  – Naturade Medical Instrument invested RMB50.00 million in “Liduoduo 99JG3728” with a 177-day tenor (matures 16 Mar 2027).  – Shanghai Yanze injected RMB100.00 million into “Liduoduo 99JG3723” with an 89-day tenor (matures 16 Dec 2026).

• July 15, 2026:  – Beijing Palaispa placed RMB80.00 million in “Liduoduo 99JG2265” with an 88-day tenor (matures 13 Oct 2026).

• June 29, 2026:  – Naturade Medical Instrument subscribed RMB70.00 million to “Liduoduo 26JG8357” with a 176-day tenor (matures 25 Dec 2026).

Product mechanics All four deposits are: 1. Principal-guaranteed with variable returns referenced to the EUR/USD spot rate as published by Bloomberg BFIX. 2. Structured to pay a fixed base yield of 0.70% per annum plus a variable component ranging from 0% to 1.25%, depending on pre-set exchange-rate thresholds at observation dates close to maturity. 3. Classified by SPD Bank as “low-risk.” 4. Non-redeemable by the subscriber before maturity, while the bank retains the right to early terminate.

Regulatory classification Individually, each subscription falls below the 5% threshold under Hong Kong Listing Rule 14.07 and would not be discloseable. Aggregated within a 12-month period and with the same counterparty, the combined size exceeds 5% but remains below 25%, causing the pooled transactions to qualify as a discloseable transaction under Rule 14.22. Consequently, Beauty Farm has fulfilled the required notification and announcement obligations; shareholder approval is not necessary.

Rationale and funding Management stated that allocating temporary surplus cash to short-dated, low-risk deposits enhances capital efficiency without constraining day-to-day liquidity. All commitments are funded from internal resources and do not involve proceeds from the company’s December 2022 global offering.
