Winfull Group (00183) has announced that on September 28, 2026, the seller Alpha Easy Limited, a direct wholly-owned subsidiary of the company, entered into a provisional sale and purchase agreement with the buyer Mr. Leung Kwan and the agent.

Under the agreement, the seller has conditionally agreed to sell and the buyer has conditionally agreed to purchase the sale shares, being the entire issued share capital of the target company Brilliant Icon Limited, along with the sale debt, for a total consideration of HK$26 million.

Upon execution of the provisional sale and purchase agreement, on September 28, 2026, the lender Wealthy View Limited, an indirect wholly-owned subsidiary of the company, entered into a loan agreement with the buyer, pursuant to which the lender agreed to grant the buyer a loan with a principal amount of HK$20 million at an annual interest rate of 5%, with a repayment period of 36 months from the drawdown date.

The target company is an indirect wholly-owned subsidiary of the company and is principally engaged in property holding business. The target company is the registered and beneficial owner of the property, and the property is the sole major asset of the target company.

The property is located on the rooftop of Block C, Seaview Building, 8 Watson Road, Hong Kong, and comprises rooftop and billboard space atop a 15-storey non-residential building. The rooftop area of the property is approximately 8,970 square feet.

The group has been generating revenue from the property by authorizing the use of billboards erected on the property. After considering current market conditions and the performance of the property, the directors believe that the disposal represents a good opportunity for the group to realize its investment in the property and thereby allocate its resources more effectively.
