Shenwan Hongyuan Group Co., Ltd. (SWHY; HKEX: 06806) has nominated Mr. Fan Gongsheng for election as an Independent Non-Executive Director (INED) to its sixth-session Board, pending shareholder approval at the forthcoming general meeting and completion of filing procedures with the Shenzhen Stock Exchange.
Mr. Fan, born in March 1958, brings nearly four decades of global financial-market experience. His career spans senior roles at J.P. Morgan, Lehman Brothers, BNP Paribas, ABN AMRO and Dresdner Bank (1987-2008), followed by leadership positions at China Investment Corporation (2008-2015), Ortus Capital Management (2016-2017) and, most recently, Lazard Asset Management (2017-2024) as Managing Director and Head of China.
Academically, Mr. Fan holds a BSc in Mathematics from the University of Science and Technology of China (1982) and both an MSc (1983) and PhD (1986) in Mathematics from Columbia University, USA.
SWHY confirmed that Mr. Fan meets all independence criteria under Rule 3.13 of the Hong Kong Listing Rules. He has no financial or other relationships with the Company, its subsidiaries or core connected persons, and holds no shares in SWHY or its associated corporations. No penalties or disciplinary actions have been recorded against him.
If approved, Mr. Fan’s tenure will extend until the expiry of the current sixth Board session, after which he will be eligible for re-election pursuant to the Company’s Articles of Association. His director’s remuneration will follow national policies, internal regulations and resolutions of the general meeting, with details to be disclosed in SWHY’s annual report.
