Harbin Electric Company Limited announced the elevation of Mr. He Yu, an existing Independent Non-Executive Director (INED), to the newly created role of Lead Independent Non-Executive Director effective 24 September 2026.
Mr. He already serves as Chairman of the Remuneration Committee and sits on the Audit, Nomination, and Strategy & Development Committees. In his expanded capacity, he is tasked with strengthening communication among INEDs, between independent and executive directors, and with shareholders—particularly minority investors.
The position of Lead INED has been introduced in response to the revised Corporate Governance Code that took effect on 1 July 2025. Harbin Electric’s board believes the appointment will improve board effectiveness, diversity, and overall corporate governance standards.
Following the change, the eight-member board composition is: • Executive Directors: Huang Wei (Chairman), Liu Qing-yong, and Du Xing-kai. • Independent Non-Executive Directors: He Yu (Lead INED), Niu Xiang-chun, Gao Yi-bin, and Li Xie-hua.
Committee leadership and memberships now stand as follows: • Audit Committee: Gao Yi-bin (Chairman), with He Yu, Niu Xiang-chun, and Li Xie-hua as members. • Remuneration Committee: He Yu (Chairman), joined by Niu Xiang-chun, Gao Yi-bin, and Li Xie-hua. • Strategy & Development Committee: Liu Qing-yong (Chairman) alongside Du Xing-kai, He Yu, Niu Xiang-chun, Gao Yi-bin, and Li Xie-hua. • Nomination Committee: Huang Wei (Chairman) with He Yu, Niu Xiang-chun, Gao Yi-bin, and Li Xie-hua as members.
