Faraday Future to Spin Off Robotics Unit onto Nasdaq in Separate Listing at $200 Million Valuation

Faraday Future Intelligent Electric Inc. (FFAI) announced that its robotics business will be merged into Nasdaq-listed AIxCrypto Holdings, Inc. (AIxC) at a valuation of $200 million and listed independently, with AIxC to be renamed FFR. The company's strategy is being upgraded to a Robotaxi shared network plus intelligent cabin technology operator and Physical AI investment holding company.

Jia Yueting, Founder and Global CEO of Faraday Future Intelligent Electric Inc., said that through this strategic upgrade, the company is expected to once again become one of the drivers of the automotive industry transformation wave. He stated that FFAI will merge its robotics business into AIxC for an independent listing, and FFAI will release value in a more open and resilient manner. This marks a new departure for both companies and an important step for EAI and Physical AI moving from exploration toward industrial co-building and leapfrog development.

Nasdaq-listed AIxCrypto Holdings, Inc. has signed a non-binding Term Sheet with Faraday Future Intelligent Electric Inc. to merge FFAI's robotics assets and business at a market valuation of $200 million, targeting the goal of becoming the first pure-play in the four-core all-intelligence EAI robotics ecosystem. The specific transaction arrangements remain subject to a final agreement, approval by the special committees of the boards of AIxCrypto Holdings, Inc. and Faraday Future Intelligent Electric Inc., regulatory approvals, and formal company announcements.

According to the Faraday Future Intelligent Electric Inc. robotics business plan, the company expects to achieve positive operating cash flow on a quarterly basis by the third quarter of 2028. The four-core all-intelligence ecosystem is projected to reach total revenue of $7.1 million in 2026 with positive gross margin of 9.9%. Total revenue is expected to reach $45.17 million in 2027, with gross margin rising to 30.5%, entering a high-margin phase. Five-year cumulative revenue is projected to reach $1.98 billion, with gross margin expected to gradually increase to 54% by 2030. The company will also significantly increase research and development investment, with a five-year cumulative investment of approximately $300 million to maintain product and technology leadership.

The EAI robot body sales targets are 2,001 units in 2026 and 7,400 units in 2027, with cumulative sales exceeding 130,000 units over five years. Based on this five-year plan, after the transaction is completed, FFR's five-year goal is to maintain a top-three comprehensive industry ranking among EAI robotics ecosystem companies.

Regarding the automotive business, Faraday Future Intelligent Electric Inc. stated that facing the trends of vehicle socialization and sharing, as well as new opportunities brought by the fragmentation of automotive assets, the company will partner with RoboShare to expand a Robotaxi unmanned shared mobility network, including access to Cybercab. It will explore deploying FF's third AI space intelligent cabin technology to other conventional smart vehicles, as well as connecting FF's own vehicles to the Robotaxi network. At the same time, Faraday Future Intelligent Electric Inc. will leverage RoboShare's sharing platform and operational capabilities to expand opportunities in vehicle asset access, operations, and user services.

Faraday Future Intelligent Electric Inc. stated that by promoting the independent listing or independent operation of its mature EAI robotics business, FFAI is expected to reduce the valuation discount caused by bundling all businesses together, and will not need to continuously dilute parent company shareholder equity for the ongoing development of mature businesses. Once the mature EAI robotics business is independently priced, its value can be calculated separately as equity value held by FFAI, and is expected to further feed back into the group's market capitalization, driving the release of the company's overall value.
