Thomson Medical shifts to market-cap benchmark for related-party deal thresholds

Thomson Medical Group Limited announced on Sep, 29 2026 that Singapore Exchange Regulation has no objection to the company using market capitalisation, rather than net tangible assets, to determine materiality thresholds for interested person transactions under Listing Manual Rules 905 and 906 for the financial year ending Jun, 30 2027.

The group’s audited net tangible assets were about negative 266 million Singapore dollars as of Jun, 30 2026, prompting the search for an alternative metric that better reflects the company’s scale and valuation.

Thomson Medical said the benchmark will be calculated from the average of its daily market capitalisation during the last month of the immediately preceding financial year, using the total number of issued shares (excluding treasury shares) multiplied by the volume-weighted average price for each trading day in that period.
