Techtronic Industries Trims Outstanding Share Count by 0.17 Million in August 2026

Bulletin Express
Sep 01

Techtronic Industries Company Limited reported a net reduction of 172,500 ordinary shares in August 2026, bringing total issued shares (excluding treasury stock) to 1.83 billion as of 31 August 2026.

The contraction stemmed from two opposing factors:

1. Share repurchases and cancellations • Five on-market buybacks during the month removed 442,500 shares from circulation. • An additional 140,000 shares repurchased earlier remain pending cancellation.

2. Employee share-option exercises • Staff exercised options for 270,000 shares under the 2017 Share Option Scheme, adding the same number of new shares to the register. • The exercises generated HKD 13.79 million in proceeds.

Option inventory and capacity • Outstanding options across the 2007 and 2017 schemes total 21.79 million units, representing a potential 21.79 million new shares. • Both schemes still allow a combined 268.78 million further options to be granted.

Capital structure and liquidity • No treasury shares were held at month-end. • The company confirmed compliance with Hong Kong’s minimum 25 % public-float requirement.

Overall, August’s net share reduction represents a marginal 0.01 % decrease in Techtronic Industries’ equity base, reflecting continued buyback activity partially offset by employee incentive conversions.
