GREAT WORLD Updates Constitutional Documents; Authorized Share Capital Set at HK$300.00 Million

Great World Company Holdings Ltd. (“GREAT WORLD”, 08003) released its Third Amended and Restated Memorandum and Articles of Association, adopted by special resolution on 29 September 2026.

Key revisions are as follows:

• Corporate Structure – The company remains a Cayman Islands exempted company limited by shares. – Registered office: Maples Corporate Services Limited, Ugland House, Grand Cayman.

• Authorized Share Capital – Fixed at HK$300.00 million, divided into 3.00 billion shares with a par value of HK$0.10 each. – The board is empowered to issue, redeem or purchase shares, create new classes, and hold treasury shares, subject to Cayman law and Hong Kong Listing Rules.

• Business Objects and Powers – Objects are unrestricted, allowing investment holding, financing, real-estate activities and any lawful business worldwide. – Directors may grant guarantees, raise or lend funds, and invest company monies at discretion.

• Modernized Share Administration – Shares may be held and transferred in both certificated and uncertificated (electronic) form, aligning with Hong Kong’s Uncertificated Securities Market (USM) Rules. – Provisions enable hybrid or fully virtual shareholder meetings and electronic dissemination of corporate communications. – Scrip dividends, share buy-backs, and treasury-share resale are permitted.

• Governance and Board Matters – Minimum of two directors; each subject to retirement by rotation at least every three years. – Board authorised to form committees, delegate powers, and indemnify directors and officers against liabilities excluding fraud or dishonesty.

• Capital Management and Dividends – Dividends may be paid out of profits or share premium, with flexibility for interim, special or scrip dividends. – The board may capitalise reserves for fully-paid share issues.

The revised constitutional documents align GREAT WORLD’s corporate framework with current Cayman Islands law, Hong Kong Listing Rules and forthcoming electronic securities settlement reforms.
