Bairong AI Inc., a Cayman-incorporated fintech company with a weighted voting rights (WVR) structure, disclosed a fresh on-market share repurchase that marginally trimmed its outstanding Class B share count while increasing treasury holdings.

On 30 September 2026 the company bought back 69,500 Class B WVR ordinary shares on the Hong Kong Stock Exchange at prices ranging between HKD 4.91 and HKD 4.92, translating into a volume-weighted average cost of HKD 4.9182 per share. The aggregate consideration amounted to HKD 0.34 million.

Key post-transaction metrics • Issued shares outstanding (excluding treasury) declined to 370.81 million, down 0.016 % from 370.88 million prior to the repurchase. • Treasury shares increased to 24.60 million, bringing total issued shares (including treasury) to 395.41 million—unchanged from the opening balance. • The 69,500 repurchased shares are being held in treasury; no cancellations were recorded as of the reporting date.

Repurchase mandate utilisation • The current buy-back forms part of the mandate approved on 30 June 2026, which authorises repurchases of up to 44.99 million shares. • Cumulative purchases under this mandate have reached 6.46 million shares, equivalent to 1.44 % of the company’s issued share capital at the mandate date. • In line with Hong Kong listing rules, Bairong AI is restricted from issuing new shares or disposing of treasury shares until 30 October 2026.

Governance confirmation The board affirmed that the repurchase complied with all Main Board Listing Rules and relevant regulatory requirements, and that all funds for the transaction have been duly settled.

The latest action underscores Bairong AI’s ongoing capital management strategy, utilising share repurchases to manage its equity base while maintaining overall issued share capital at 395.41 million.
