Luyuan Group Holding Keeps Share Count Steady in September; Option Exercises Bring in HK$0.69 Million

For the month ended 30 September 2026, Luyuan Group Holding (Cayman) Limited reported no change in its issued share capital while modestly boosting cash through employee option exercises.

Authorised and Issued Capital • Authorised share capital remained unchanged at 1.00 billion ordinary shares with a par value of USD 0.0001 each, equivalent to total authorised capital of USD 0.10 million. • Total issued shares stood at 426.67 million, of which 406.13 million were in public hands and 20.54 million were held as treasury shares—identical to the August closing balances. The company confirmed that it continued to meet the Main Board’s 25% minimum public-float requirement.

Option Scheme Activity • Pre-IPO Share Scheme: 133,730 options were exercised at a nil strike price, settled through existing shares held by a trust vehicle. Outstanding options under this scheme declined to 9.27 million. • Post-IPO Share Scheme (grant dated 3 July 2025): 85,675 options were exercised at HK$8.00 per share, generating approximately HK$0.69 million in cash proceeds and reducing outstanding options to 5.82 million. • Post-IPO Share Scheme (grant dated 5 January 2026): 28.59 million options remain outstanding; no exercises occurred during the month. The aggregate pool of shares still available for future grants or transfers under the two post-IPO sub-schemes totals 31.60 million.

Treasury Shares and Other Instruments • Despite option activity, neither the number of issued shares nor the treasury-share balance changed during September, as all exercised options were settled with existing shares. • The company reported no movements in warrants, convertible securities or other share-issuance arrangements during the period.

Compliance Statement Luyuan Group Holding affirmed full compliance with Hong Kong Stock Exchange listing rules, including public-float sufficiency and receipt of all funds related to the exercised options.
