BCIA Revises Vending-Spot Lease Fees and Lowers Transaction Caps via Supplemental Agreement

Beijing Capital International Airport Company Limited (BCIA) signed a Supplemental Spots Leasing Agreement on 24 September 2026 with Beijing Capital Airport Commercial & Trading Co., Ltd. (BACT), introducing a tiered reduction in the base monthly fee for self-service vending locations at Beijing Capital Airport and trimming previously approved annual transaction caps.

Key Amendments • Base monthly leasing fee per spot falls from RMB6,867.74 to RMB5,202 for Terminal 3, RMB3,584 for Terminal 2 domestic, and RMB3,410 for Terminal 2 international. • Revised fee structure applies immediately and runs through the original contract expiry on 9 April 2028. • Calculation methodology—base fee multiplied by an adjustment coefficient linked to actual passenger throughput—remains unchanged.

Revised Annual Caps • 10 Apr 2026 – 31 Dec 2026: reduced to RMB4.50 million from RMB5.16 million. • FY 2027: reduced to RMB5.20 million from RMB7.18 million. • 1 Jan 2028 – 9 Apr 2028: reduced to RMB1.60 million from RMB2.02 million.

Historical Utilisation For 10 Apr 2026 – 31 Aug 2026, leasing fees paid by BACT totalled RMB2.43 million, comfortably within the original 2026 cap.

Regulatory Position Because the highest applicable percentage ratio for the revised caps is below 0.1%, the transactions remain fully exempt from reporting, annual review, announcement, circular and independent shareholders’ approval under Rule 14A.76(1) of the Hong Kong Listing Rules. Nevertheless, the supplemental agreement constitutes a material variation, triggering the current disclosure under Rule 14A.35.

Rationale and Pricing Basis BCIA cites market dynamics, passenger-flow patterns and the need to optimise spot layout as drivers behind the fee reduction. Pricing was benchmarked against comparable airport leases in China, BCIA’s cost base and a reasonable profit margin. Internal controls will continue to monitor compliance with the revised caps.

Board Considerations Directors holding concurrent positions at the controlling shareholder, Capital Airports Holdings Co., Ltd., abstained from voting. The remaining board members, including all independent non-executive directors, concluded that the supplemental terms are fair, conducted on normal commercial terms and in the ordinary course of business.
