ICBC Reports No Share Capital Changes and Maintains Sufficient Public Float in September 2026

Industrial and Commercial Bank of China Limited (ICBC) filed its monthly return for the period ended 30 September 2026, confirming that both authorised and issued share capital remained unchanged throughout the month.

Authorised/Registered Capital • Total authorised capital stood at RMB 471.41 billion, comprising 86.79 billion H-class ordinary shares, 269.61 billion A-class ordinary shares and a combined 1.15 billion domestic preference shares (450.00 million “工行優1” and 700.00 million “工行優2”).

Issued Shares and Treasury Position • Issued shares were stable at 86.79 billion H shares and 269.61 billion A shares. • No treasury shares were held or cancelled, and no new shares were issued across all classes.

Public Float Compliance • ICBC confirmed compliance with Hong Kong Main Board Rule 13.32D, maintaining at least the required 5% public float for its H-share class.

Outstanding Convertibles • Two domestic preference share tranches remain outstanding: – “工行優1”: RMB 45.00 billion, convertible into up to 13.08 billion A shares at RMB 3.44 per share. – “工行優2”: RMB 70.00 billion, convertible into up to 12.89 billion A shares at RMB 5.43 per share. • No conversion events occurred during September 2026.

Corporate Actions • The bank reported no share option exercises, warrant issues, other convertible securities, repurchases, or Hong Kong Depositary Receipt activity during the month.

Overall, ICBC’s share structure and capital base remained static in September 2026, with regulatory float parameters fully satisfied.
