Hua Hong Grace Semiconductor Limited has convened an extraordinary general meeting (EGM) for 22 October 2026 at 2:30 p.m., combining a physical session at No. 288, Halei Road, Pudong New Area, Shanghai, and an online platform.

1. Adoption of a New Share Option Scheme • Conditional on approvals from the State-owned Assets Supervision and Administration Commission of Shanghai Municipal Government and The Stock Exchange of Hong Kong Limited, shareholders will vote on implementing a new share option scheme. • Directors would receive broad authority to manage, amend and grant options under the plan. • The aggregate number of shares covered by options granted under all company schemes, including the new plan, is capped at 10% of the company’s issued share capital on the approval date. The company may seek future shareholder consent to refresh this limit.

2. Grant of up to 52.14 million “2026 Options” • Subject to the scheme’s adoption, the board seeks approval to issue no more than 52.14 million options. • These options fall within the same 10% overall limit. • Directors would be empowered to handle administration, amendments and share allotments arising from the exercise of these options.

• Shareholders recorded on 22 October 2026 are eligible to participate and vote. The register of members will be closed from 16 October to 22 October 2026; share transfers must be lodged by 4:30 p.m. on 15 October 2026. • Proxy forms must reach Tricor Investor Services Limited by 2:30 p.m. on 20 October 2026. • All voting at the EGM will be conducted by poll; results will be published on the Hong Kong Stock Exchange website after the meeting. • Shareholders may attend either in person or online; non-registered holders should coordinate with their intermediaries to obtain proxy or representative status.

Governance

The board is chaired by Executive Director Dr. Peng Bai. Other members include Non-executive Directors Jun Ye, Guodong Sun, Bo Chen and Chengyan Xiong, alongside Independent Non-executive Directors Stephen Tso Tung Chang, Kwai Huen Wong, JP and Songlin Feng.

The proposed share option initiatives aim to align management and employee incentives with shareholder interests while maintaining dilution within the 10% threshold established under Hong Kong listing rules.
