NUOBIKAN Plans Share Placement at Roughly 13.61% Discount to Raise About HK$131.5 Million Net

NUOBIKAN (02635) announced that before the trading session on September 29, 2026, the company entered into a placing agreement with a placing agent to place 16.4885 million placing shares to no fewer than six placees through the placing agent at a placing price of HK$8.19 per placing share, a discount of approximately 13.61% to the closing price of HK$9.48 per H share as quoted on the Hong Kong Stock Exchange on the last trading day.

The net proceeds from the placement are approximately HK$131.5 million, of which approximately 40.0% will be used for research and development of core AI operations and maintenance technology for the large infrastructure industry, including (a) comprehensive railway transportation systems; (b) large equipment for petrochemical exploration, extraction and refining; and (c) civil aviation airport runways, aprons and terminals; approximately 20.0% will be used for overseas business expansion, including the incorporation of overseas subsidiaries, participation in rail transit operation and maintenance projects along the Belt and Road, and smart airport projects in the Middle East and Asia; approximately 20.0% will be used for potential acquisitions of industry targets, including companies engaged in basic computing power, AI models, and AI applications in airport operations and the chemical industry; and approximately 20.0% will be used to supplement the group's working capital.
