Chuanglian Holdings Limited has released an updated version of its Nomination Committee Terms of Reference, approved by the Board on 29 September 2026. The document supersedes all previous versions adopted since the committee’s establishment in February 2008.

• Core Responsibilities – Develop, review and implement both nomination and succession-planning policies. – Conduct annual evaluations of Board structure, size, skills and experience, maintaining a skills matrix. – Identify and recommend director candidates, considering qualifications, capacity to serve and overall board diversity. – Assess independence of independent non-executive directors. – Advise on appointments, reappointments and succession planning for directors, including the Board chair and chief executive. – Support regular Board performance evaluations and review directors’ commitment levels.

• Authority and Resources – Members may seek external professional advice at the Company’s expense and request any information needed from management. – Sufficient resources are to be provided to fulfil committee duties.

• Reporting and Disclosure – Minutes and reports are circulated to all committee members and key decisions are reported at subsequent Board meetings. – The full Terms of Reference are available on both the Hong Kong Stock Exchange and company websites, and for inspection at the company’s Hong Kong principal office.
