Fantasia Holdings Confirms 14 Aug 2026 Share Consolidation, Board-Lot Change and Higher MCB Conversion Price

Fantasia Holdings Group Co., Limited has announced that all conditions for its proposed share consolidation have been satisfied, setting 14 August 2026 as the effective date. Trading in the consolidated shares will begin at 9:00 a.m. on the same day, with new green share certificates to be issued to holders.

Effective 28 August 2026, the board-lot size on the Hong Kong Stock Exchange will shift from 1,500 existing shares to 5,000 consolidated shares. To ease potential trading frictions, the company has appointed Computershare Hong Kong Investor Services Limited to provide best-efforts matching services for shareholders wishing to buy or sell odd lots arising from the consolidation and the board-lot change.

Consequent to the consolidation, the conversion price of Fantasia’s Mandatory Convertible Bonds (MCB) will rise from HK$1.52 per new existing share to HK$7.60 per new consolidated share, also effective 14 August 2026. Based on the outstanding MCB principal of USD250.59 million, the maximum number of shares issuable upon full conversion will fall from 1.29 billion new existing shares to 257.19 million new consolidated shares. All other MCB terms remain unchanged.

The company’s board of directors comprises executive directors Lin Zhifeng and Timothy David Gildner; non-executive directors Zeng Jie (Baby), Su Boyu, Huang Yueping and Brock Louis Silvers; and independent non-executive directors Leung Yiu Cho, Guo Shaomu and Ma Yu-heng.
